Terms of service (draft)

1. Who provides the service

DiligenceControl is provided and operated by Aaron Sperber as an individual business owner. It is not a registered company, and no corporate entity is claimed. These terms are a draft pending professional legal review and are not yet offered as a contract. Support and contract questions: support@diligencecontrol.com.

2. What the service does

DiligenceControl lets an organization store multifamily acquisition documents privately, extract values from PDF, CSV and XLSX files, keep a source reference for each value, review and correct those values, track issues and counterparty requests, record approvals, and export an Evidence Package snapshot.

3. What the service does not do

• It does not provide investment, valuation, accounting, tax or legal advice.
• It does not certify that a document is authentic or that a counterparty statement is true.
• It does not read scanned or photographed pages; text recognition is not connected.
• It does not scan uploads for malware, so uploads are never labelled scanned.
• Spreadsheet macros are never executed.

4. Accounts, organizations and access

A verified email address from the authentication provider is required. Records belong to an organization, and access is enforced by the database from your verified identity and membership. An owner controls memberships, per-deal access, invitations, retention settings and deletion requests. The last remaining owner cannot be removed or demoted.

5. Your responsibilities

• Only upload documents you are permitted to upload and process.
• Review extracted values before relying on them; a human accepts every value.
• Keep invitation and counterparty request links confidential.
• Do not attempt to reach another organization’s records.

6. Fees

Paid packages are named Screening, Evidence Control and Enterprise. No commercial prices, allowances or contract terms are approved yet. A free development tier and a $10/month Screening test price exist only for internal testing and are not offers. Public checkout and live payments are disabled.

7. Availability, changes and data handling

No uptime, support-response or recovery guarantee is offered. Document processing runs inside a bounded synchronous budget of roughly 45 seconds and may stop and report an error rather than guess. History records (evidence, exception and approval history) are append-only during ordinary editing. An organization owner may request permanent deletion; scope and backup expiry are described in the privacy draft.

8. Termination

You may stop using the service at any time and request deletion of your organization’s data. Cancellation and deletion requests can be sent to support@diligencecontrol.com. Access may be suspended where use threatens the service or other customers.

9. Liability and governing law

The service is provided as-is, without warranties of any kind, and is not a substitute for professional advice. Liability limits, indemnities, dispute resolution and governing law have not yet been settled and are not stated here; nothing in this draft should be read as a limitation of liability or as a promise. They will be added after professional legal review.
